Terms of Service

These Terms of Service govern access to and use of CCMS, a cloud-based platform for canine clubs, kennel clubs, breed clubs, canine associations, registries, and dog show organizers.
Definitions
- "CCMS"
- means Inspedium's Canine Club Management System.
- "Inspedium"
- means the Inspedium entity providing CCMS.
- "Client" / "club"
- means the organization subscribing to, licensing, or using CCMS.
- "User"
- means any administrator, employee, official, judge, steward, member, breeder, owner, or other person who accesses CCMS.
- "Client Data"
- means data entered into, uploaded to, stored in, or processed through CCMS by or for the client.
- "Platform"
- means the CCMS software, dashboards, portals, databases, workflows, reports, forms, and related services.
2 The CCMS service
CCMS helps clubs manage workflows such as: member registration and renewals, dog registration, pedigree records, litter records, kennel and breeder records, event and show entries, judging and results, certificates and reports, payments and finance records, user roles and permissions, and audit trails and administrative workflows.
The exact modules, features, configuration, limits, support, onboarding, and optional services depend on the written proposal, order form, subscription plan, or service agreement accepted by the client.
3 Client responsibility
The client is responsible for:
- The accuracy of all data entered into CCMS
- The legality of collecting and processing its member, breeder, owner, judge, staff, dog, health, event, and financial records
- User access approvals
- Internal club rules, registry rules, show rules, and certificate rules
- Communicating its own policies to members and users
- Reviewing configuration, forms, fees, certificates, and workflows before go-live
- Maintaining suitable internal procedures for approvals and record correction
Inspedium provides the platform. The client remains responsible for club decisions, registry decisions, grading decisions, disciplinary decisions, show results, breeding permissions, and publication of official records.
4 Authorized users
Only authorized users may access CCMS. Users must: use their own login credentials, keep passwords confidential, avoid sharing accounts, use accurate information, follow the client club's rules, report suspected unauthorized access, and avoid attempts to bypass access controls.
The client is responsible for user activity under accounts it creates or approves.
5 Account security
The client must maintain secure administrative practices, including: strong passwords, prompt removal of access for former staff, officials, or contractors, limited administrator access, correct role assignments, review of audit logs where needed, and internal approval checks for sensitive actions.
Inspedium may suspend or restrict access if it detects misuse, weak security practices, unlawful activity, abuse, or a risk to the platform or other clients.
6 Client Data ownership
The client owns its Client Data. Inspedium does not claim ownership of member records, dog records, pedigree data, financial records, event records, certificates, uploaded documents, or other client-owned operational data.
Inspedium may process Client Data only to provide, support, maintain, secure, improve, or legally protect CCMS, or as otherwise allowed by the applicable agreement.
7 Inspedium intellectual property
CCMS, including its software, source code, database design, schema, structure, workflows, user interface, reports, templates, automation logic, documentation, design, and related technology, is owned by Inspedium or its licensors. No client, user, or third party receives ownership of CCMS or any part of its underlying software or technical architecture.
Unless a written agreement clearly states otherwise, the client receives a limited right to use CCMS during the active subscription period. No client may copy, resell, sublicense, reverse engineer, extract, clone, replicate, or create a competing product from CCMS.
8 Data export
Upon termination or expiry, the client may request an export of its Client Data, subject to: payment of all outstanding dues, written verification of authorized request, the agreed export format, and any applicable technical, legal, or contractual limits.
Data export does not include Inspedium's proprietary source code, database schema, system architecture, routines, triggers, indexes, internal tools, design logic, or platform configuration methods, unless a separate written agreement specifically provides otherwise.
9 Optional services
Optional services may be quoted separately, including: legacy data import, data cleaning, custom reports, custom certificates, mobile application, additional workflows, payment gateway integration, third-party API integration, special hosting or compliance requirements, on-site training, and extended support.
Unless stated in writing, optional services are not included in the base subscription.
10 Fees and payment
The client must pay all fees according to the accepted proposal, invoice, subscription plan, or written agreement. Fees may include: setup charges, configuration charges, subscription charges, hosting charges, support charges, optional service charges, and taxes, duties, bank charges, or payment gateway fees.
Late payment may result in restricted access, suspension, or termination. Inspedium may revise prices for renewal periods by giving prior notice, unless the written agreement states otherwise.
11 Taxes
All taxes, duties, withholding, bank charges, transfer fees, and government levies are the client's responsibility unless a written agreement states otherwise.
12 Acceptable use
Users must not use CCMS to:
- Break any law
- Upload malicious code
- Attempt unauthorized access
- Interfere with platform operation
- Copy or scrape data without permission
- Harass, abuse, or defame others
- Upload unlawful, misleading, or infringing material
- Misrepresent official records
- Circumvent subscription limits
- Test security without written approval
- Use CCMS to build or support a competing platform
Inspedium may remove content, restrict access, suspend accounts, or take other action where misuse is suspected.
13 Third-party services
CCMS may connect to third-party services such as payment gateways, email services, SMS or WhatsApp providers, hosting infrastructure, analytics tools, or identity services. Third-party services are governed by their own terms and policies.
Inspedium is not responsible for third-party outages, rejected payments, blocked messages, account restrictions, gateway errors, or provider policy changes.
14 Availability and maintenance
Inspedium aims to keep CCMS stable and available. However, access may be affected by: scheduled maintenance, emergency maintenance, internet outages, data centre issues, third-party provider issues, payment gateway issues, security incidents, force majeure events, or client-side configuration or connectivity problems.
Any service level commitment must be stated in a separate written agreement.
15 Backups and disaster recovery
CCMS may include scheduled backups and disaster recovery measures as described in the accepted proposal or agreement. Backups are intended for platform recovery. They are not a substitute for the client's own governance, review, approvals, and export procedures.
Restoration requests may be subject to technical limits, timing, available backup points, and additional charges.
16 Support
Support is provided through the channels and hours described in the proposal, agreement, or support policy. Support may include: technical assistance, user guidance, issue investigation, bug review, configuration assistance, and training material.
Support does not include legal advice, registry governance advice, veterinary diagnosis, show judging advice, data-entry work, or custom development unless agreed in writing.
17 Configuration and go-live approval
The client must review and approve its configuration before go-live, including: club branding, user roles, fees, forms, certificates, workflows, email templates, event settings, registry rules, and approval steps.
Once the system goes live, changes may be treated as new configuration work and may carry additional charges.
18 No veterinary or legal advice
CCMS is a software platform. It does not provide veterinary, legal, financial, tax, or regulatory advice. Health records, grading records, breed records, and show records entered into CCMS remain the responsibility of the relevant club, veterinarian, judge, official, or authorized person.
19 Confidentiality
Each party must protect the other party's confidential information. Confidential information may include business records, pricing, technical data, platform details, member data, financial data, system credentials, private communications, and non-public club records. Confidentiality duties continue after termination.
20 Privacy and data protection
Use of CCMS is also governed by the CCMS Privacy Policy and any data processing terms agreed between Inspedium and the client. The client must have the required authority, permissions, and legal basis to enter personal data into CCMS.
21 Suspension
Inspedium may suspend access if: fees remain unpaid, a security risk is detected, misuse is suspected, the client breaches these Terms, a legal authority requires action, platform integrity is at risk, or continued access may harm Inspedium, other clients, or users. Inspedium may restore access after the issue is resolved.
22 Termination
Either party may terminate according to the written agreement. After termination: client access may stop, outstanding dues remain payable, data export may be provided under the agreed terms, Client Data may be deleted after the retention period, and backup copies may remain until backup rotation removes them. Inspedium's intellectual property rights remain in place.
23 Warranties
CCMS is provided on a professional, commercially reasonable basis. Except where a written agreement states otherwise, CCMS is provided without warranties that it will be uninterrupted, error-free, meet every client-specific requirement, or work with every third-party service.
24 Limitation of liability
To the maximum extent allowed by law, Inspedium will not be liable for indirect, incidental, special, punitive, or consequential losses, including loss of profits, loss of goodwill, loss of reputation, loss of expected revenue, loss of data caused by client error, or interruption of business.
Inspedium's total liability for any claim will not exceed the fees paid by the client for CCMS during the three months before the event giving rise to the claim, unless a written agreement states otherwise.
25 Indemnity
The client agrees to protect Inspedium from claims, losses, costs, damages, and expenses arising from: Client Data, club rules or decisions, user misuse, unlawful data collection, incorrect records, published club content, breach of these Terms, or disputes among members, breeders, owners, judges, officials, or third parties.
26 Changes to CCMS
Inspedium may update, improve, modify, or discontinue parts of CCMS over time. Material changes that affect active client operations will be communicated through a suitable channel.
27 Governing law
Unless a written agreement states otherwise, these Terms are governed by the laws of Pakistan. Any dispute will be handled by the courts or dispute resolution forum stated in the written agreement. If no forum is stated, the competent courts of Karachi, Pakistan will have jurisdiction.
